Consumer Terms of Sale and Licence

Version udria-consumer-terms-uk-2026-09-23-v1.0 — superseded. Udria is operated by 815MC Ltd.

This version has been superseded, and it still governs some orders.

If your order confirmation names udria-consumer-terms-uk-2026-09-23-v1.0, this is your contract and the text below is the one you accepted. A later version does not change a purchase already made.

The version in force for new orders is udria-consumer-terms-uk-2026-09-25-v1.1. If you are unsure which applies to you, email hello@udria.co with your order reference.

These Consumer Terms apply to a purchase made through Udria's Personal / consumer purchase route.

1. Who we are and when these Terms apply

1.1 Udria is operated by 815MC Ltd, a company incorporated in England and Wales with company number 14188435 and registered office at Flat 815 Maurer Court, John Harrison Way, London, England, SE10 0SX ("Udria", "we", "us"). You can contact us at hello@udria.co.

1.2 These Terms apply only where, when the contract is made, you are an individual acting for purposes that are wholly or mainly outside your trade, business, craft or profession (a "Consumer", "you").

1.3 If the main purpose of your purchase is connected with your trade, business, craft or profession, you must use the Business Purchase route and the Business Terms instead. Paying with a personal card, buying in your own name or being a sole trader does not by itself determine whether you are a Consumer.

1.4 You must be at least 18 years old to purchase through the Consumer route.

1.5 Your order is an offer to purchase the Package on these Terms. We accept that offer, and a contract is formed, when we send you an order confirmation following successful payment.

1.6 The agreement between us (the "Agreement") consists of these Terms, your order confirmation, the pre-contract information shown to you before payment and the version of the Udria Compatibility page identified for your order. If there is an inconsistency, your order confirmation prevails as to the product purchased, the price actually charged and transaction taxes. Nothing in these Terms excludes any statement or information that applicable consumer law treats as binding.

2. What you are buying

2.1 Production Stripe Billing (the "Package") is downloadable digital content supplied as a ZIP file. It contains source code, database migrations, automated tests, specifications and written implementation instructions intended to be used with a compatible existing software project.

2.2 The Package is not:

2.3 The Package is intended to be used with an AI coding agent selected by you. The agent reads your repository and writes an implementation into it. We do not access your repository, operate your AI agent or deploy the resulting implementation.

2.4 The Package's supported configurations, relevant functionality, compatibility and interoperability information are set out on the versioned Compatibility page at https://udria.co/compatibility. The version identified for your order forms part of the Agreement.

2.5 Any material technical restriction that applies to the version you buy will be stated on the Compatibility page or clearly brought to your attention before you place the order.

3. Price, payment and tax

3.1 The total price displayed to you at checkout is the total amount payable to Udria for the Package and includes any VAT, sales tax, GST or similar transaction tax that Udria is required to charge on your purchase.

3.2 We will not add a mandatory Udria fee or tax after the total price has been displayed immediately before you place your order.

3.3 The Package is paid for once. There is no subscription, automatic renewal or recurring charge.

3.4 If your card issuer, bank or payment provider applies a currency-conversion charge or another charge under its separate agreement with you, that charge is imposed by that provider and is not received by Udria.

4. Delivery and access

4.1 Following successful payment and acceptance of your order, we will send your order confirmation and authenticated download link without undue delay, normally within seconds, to the email address used for your order.

4.2 Your download link is for your permitted use. You must take reasonable steps to keep it confidential and must not share it in a way that gives another person an unlicensed reusable copy of the Package.

4.3 We may replace, suspend or revoke a download link if we reasonably believe that the link has been compromised or is being used to facilitate a use that these Terms do not permit. Doing so does not by itself terminate your licence in a copy of the Package already lawfully obtained or an update entitlement that continues under clause 11.

4.4 We may record download and access events for security, delivery, licence administration and support purposes as described in our Privacy Notice.

5. Your licence to the Package

5.1 During the Licence Term, Udria grants you a non-exclusive, non-transferable licence to use the Package across projects and repositories that you own or control for your own use, subject to the restrictions in these Terms.

5.2 Your Consumer licence does not permit you to use the Package to create implementations for clients or other third parties as part of providing professional services. That use requires the Business Purchase route.

5.3 You may transmit the Package to a third-party AI coding service solely to the extent reasonably necessary to generate, review or assist with an implementation permitted by these Terms.

5.4 A later change in how you use an implementation already created with the Package does not by itself terminate the rights in that implementation given by clause 6. If you want to use the Package itself to create further client or third-party implementations, you must obtain the appropriate business licence.

6. The implementation your AI agent writes

6.1 We claim no ownership in your implementation merely because it was generated using the Package.

6.2 To the extent that Udria owns rights necessarily embedded in an implementation created using the Package, Udria grants you a perpetual, worldwide, royalty-free licence to use, copy, modify, maintain, deploy, distribute and transfer those embedded elements as part of that implementation.

6.3 We do not warrant that output generated by a third-party AI service is free from third-party rights. Your agreement with your AI provider may also govern rights in its output.

6.4 The restrictions in clause 12 apply to the Package itself, not to your independently generated implementation, except that you must not use an implementation as a means of redistributing the Package itself or a substantially reusable copy of it.

7. Your 14-day cancellation right and immediate digital delivery

7.1 Because this is a distance contract for digital content, you normally have the right to cancel the contract without giving a reason until the end of 14 days after the day on which the contract is made.

7.2 You may ask us to begin supplying the Package during that 14-day cancellation period. Before we do so, we will ask you separately to:

  1. expressly request and consent to immediate supply; and
  2. acknowledge that you will lose your statutory cancellation right once supply begins.

7.3 If you give both of those confirmations and supply of the Package begins before the 14-day period ends, your statutory right to cancel for change of mind ends when supply begins.

7.4 As a contractual protection in addition to the minimum required by law, Udria will treat supply as beginning no earlier than the point at which an authenticated download of the Package begins. Merely sending you the order-confirmation email or download link will not, by itself, cause Udria to treat your change-of-mind cancellation right as lost.

7.5 If you have not begun the download and your cancellation period has not expired, you may cancel by emailing hello@udria.co with a clear statement that you wish to cancel, or by using the model cancellation form in Schedule 1. You do not have to use the model form.

7.6 If you validly cancel before the cancellation right has been lost, we will reimburse the amount paid without undue delay and no later than 14 days after the day on which you tell us that you are cancelling. We will use the same payment method that you used for the purchase unless you expressly agree otherwise, and we will not charge you a refund fee.

7.7 Your loss of the 14-day change-of-mind cancellation right does not affect your statutory rights or remedies if the Package is faulty, not as described, not fit for a particular purpose where the legal requirements are met, or otherwise fails to conform to the contract.

8. Your statutory digital-content rights and the compatibility guarantee

8.1 Nothing in these Terms affects your statutory consumer rights.

8.2 Under the Consumer Rights Act 2015, paid digital content must be of satisfactory quality, fit for any particular purpose that you made known to us where the statutory requirements are met, and as described, and we must have the right to supply it.

8.3 If the Package does not conform to the contract, you may have a right to require repair or replacement. If repair or replacement is impossible, or is not provided within a reasonable time and without significant inconvenience, you may have a right to an appropriate price reduction, which can in an appropriate case be the full price. You may also have statutory rights if defective digital content causes damage to a device or other digital content that you own and the damage would not have occurred had we exercised reasonable care and skill.

8.4 Compatibility guarantee. In addition to your statutory rights, we will refund the purchase price under our voluntary compatibility guarantee if all of the following are true:

  1. at the time of purchase, the versioned Compatibility page expressly listed your relevant configuration as supported;
  2. you run the current, unmodified Udria pre-flight check against that configuration;
  3. the pre-flight check reports that configuration as unsupported; and
  4. you send us the report within 14 days after purchase and before deploying the resulting implementation in production.

8.5 The compatibility guarantee does not, by itself, cover:

8.6 Clauses 8.4 and 8.5 describe an additional voluntary contractual guarantee. They do not replace, limit, shorten or make conditional any statutory right or remedy that you have under consumer law.

9. Using the Package and third-party AI

9.1 You are responsible for selecting your AI provider and for your account, instructions, privacy settings and contractual relationship with that provider.

9.2 We do not control whether an AI provider retains prompts, files or other content sent to it. You should choose settings appropriate to the sensitivity of your project.

9.3 Before using AI-generated implementation code in a live environment, you should review it and test it in an appropriate non-production or sandbox environment, including relevant security, billing, rollback and reconciliation behaviour.

9.4 Nothing in this clause makes you responsible for a defect in the Package itself or limits any statutory right or remedy that you have against Udria.

10. Support

10.1 For 30 days after purchase, we provide email support for installation issues on a supported stack, up to three substantive exchanges per purchase.

10.2 A "substantive exchange" is one response cycle addressing a support request. Administrative messages, clarifications and confirmed defects in the Package do not count against that limit.

10.3 Support is provided on a reasonable-efforts basis. Unless we expressly agree otherwise in writing, we do not guarantee a particular first-response, resolution or availability time.

10.4 Support does not include bespoke development.

10.5 The limits in this support clause do not restrict your statutory rights or the remedies available where the Package does not conform to the contract.

11. Updates

11.1 During the Update Period, you are entitled at no additional licence fee to each v1.x release of the Package that Udria publishes.

11.2 The Update Period is five years from your purchase date. Udria will make each qualifying v1.x release published during that period available for download for at least 90 days after the relevant release notice. You are responsible for retaining copies you wish to keep.

11.3 The contractual update entitlement does not oblige Udria to maintain a minimum release frequency, add a particular feature or create a particular discretionary update. It does not limit any update, repair, replacement or other step that Udria is required to provide under applicable consumer law.

11.4 Udria may designate a materially new generation of the Package as a new major version, such as v2. Minor improvements, corrections and maintenance releases to the v1 product will ordinarily remain within v1.x. Version designations will be made in good faith having regard to the nature and scope of the release.

11.5 A sale or transfer of the Package or the relevant part of Udria's business does not, by itself, terminate your existing licence or your entitlement to qualifying v1.x releases for the remainder of the Update Period.

12. Restrictions

12.1 The Package is licensed, not sold. Except for transmission to an AI provider as expressly permitted by clause 5.3, you must not:

12.2 Except for the rights expressly granted by these Terms, all rights, title and interest in the Package are reserved by Udria and its licensors.

13. Statements about third parties

13.1 Stripe and third-party AI providers are independent third parties. Unless we expressly state otherwise, Udria is not affiliated with, sponsored by or endorsed by them.

13.2 We do not promise that a third-party API, AI service or other third-party system will remain available or unchanged, or that a third-party AI service will produce error-free output.

13.3 Clause 13.2 does not limit your statutory rights in relation to the Package itself, the compatibility information or any statement about the Package that is legally binding on Udria.

14. Liability

14.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so. In particular, nothing excludes or limits liability for:

14.2 If we fail to comply with the Agreement, we are responsible for loss or damage that is a foreseeable result of our breach or of our failure to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen or, when the contract was made, both you and we knew that it might happen.

14.3 We are not responsible for loss or damage caused solely by:

except to the extent that the loss or damage was also caused by our breach of the Agreement, a defect in the Package, or something for which applicable law makes us responsible.

14.4 These Consumer Terms are for purchases made wholly or mainly outside a trade, business, craft or profession. To the extent permitted by law, we are not responsible under these Consumer Terms for loss of business, business interruption, loss of business opportunity, loss of business profit or other purely commercial loss arising from a business use that was not the main purpose for which you bought the Package.

15. Licence term and termination

15.1 The Licence Term begins when the Package is first made available to you and continues until the Agreement is terminated under this clause.

15.2 We may terminate the Package licence by written notice if you materially breach these Terms and, where the breach is capable of remedy, you do not remedy it within 14 days after we give you written notice explaining the breach and requiring it to be remedied.

15.3 We may terminate immediately for a material breach that is genuinely incapable of remedy. Unauthorised public distribution of the Package may be incapable of remedy once disclosure has occurred.

15.4 On termination, you must stop using the Package and delete copies of the Package in your possession or control, except to the extent that retention is required by law.

15.5 Termination does not affect your right to use, copy, modify, maintain, deploy, distribute or transfer an implementation created using the Package before termination, or the perpetual licence granted by clause 6.2. You may continue to modify that implementation using your own code and tools, but termination does not permit continued use of the Package to create further implementations.

15.6 Termination does not affect any statutory right, accrued right or remedy. Clauses 6, 12, 14, 15.5, 17, 18 and 19, and any provision which by its nature is intended to survive, continue after termination.

16. Privacy

16.1 Our Privacy Notice explains how we process personal data in connection with checkout, payment, delivery, downloads and support. The Privacy Notice is a transparency notice and does not form part of the Agreement.

17. Complaints

17.1 If you have a complaint about your purchase, email hello@udria.co and include your order number and enough information for us to understand the issue. We will investigate and respond within a reasonable time.

17.2 Using our complaints process does not affect your statutory rights or your right to bring a claim in a court that has jurisdiction.

17.3 We are not currently required by law or contract to participate in a particular alternative dispute resolution scheme for this product. If an applicable ADR or other complaint-resolution arrangement becomes one in which we are required to participate, we will provide the information required by law.

18. Governing law and courts

18.1 The Agreement and any non-contractual obligations arising out of or in connection with it are governed by the law of England and Wales.

18.2 If you live in Scotland, Northern Ireland or another country, clause 18.1 does not deprive you of the protection of any mandatory consumer law that applies to you and cannot lawfully be excluded by agreement.

18.3 You may bring proceedings in the courts of England and Wales or in any other court in which applicable consumer-jurisdiction rules give you the right to bring proceedings. We may bring proceedings against you only in a court permitted by applicable consumer-jurisdiction rules.

19. General

19.1 Changes to these Terms. We may change these Terms for future purchases. The version recorded for your order governs that purchase. A later version does not change your existing purchase unless you expressly agree to the change or the law requires it.

19.2 Severability. If a provision of the Agreement is held invalid or unenforceable, it will be treated as modified only to the minimum extent necessary to make it valid and enforceable or, if that is not possible, deleted. The remainder of the Agreement continues in force.

19.3 No waiver. A failure or delay in exercising a right does not waive that right.

19.4 Third-party rights. Except where applicable law provides otherwise, a person who is not you or Udria has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce the Agreement.

19.5 Assignment by Udria. We may transfer the Agreement to a group company or an acquirer of the Package or the relevant part of our business, provided that the transfer does not reduce rights you already hold under the Agreement.

19.6 Notices. A formal notice to Udria may be sent to our registered office stated in clause 1.1, with a copy by email to hello@udria.co. We may send contractual notices to the email address used for your order. This clause does not govern service of court proceedings.
